Terms of Service

SGA Risk (the “Service”) is operated by Smart Growth Assets, Inc. (“we”, “our”, or “us”). By accessing or using the Service you agree to these Terms of Service. If you do not agree, do not use the Service.

SGA Risk provides automated, server-side risk management — stops, trailing locks, and take-profits — on the brokerage and wallet accounts you connect. The Service acts only on the rules you configure and the accounts you authorize.

SGA Risk is a software tool, not a broker-dealer, investment adviser, or fiduciary. Nothing in the Service constitutes investment, financial, legal, or tax advice or a recommendation to buy, sell, or hold any security or asset. You are solely responsible for your trading decisions and configurations.

Trading involves substantial risk of loss. Automated risk controls reduce but do not eliminate risk: execution can be affected by market conditions, gaps, halts, liquidity, broker behavior, connectivity, and third-party outages. Orders may be delayed, partially filled, rejected, or fail to execute. Past performance does not guarantee future results.

You are responsible for maintaining the security of your login and for the API keys / OAuth connections you add. You represent that you are authorized to connect any account you link. SGA Risk never holds withdrawal or fund-transfer rights and acts only within the read + trade scope you grant. You may disconnect at any time.

Paid plans are billed in advance on a recurring basis through our payment provider (Stripe) until cancelled. Fees are non-refundable except where required by law. We may change pricing prospectively with notice.

You agree not to misuse the Service, attempt to circumvent security or access controls, reverse-engineer it, or use it for unlawful purposes. We may suspend or terminate access for breach of these Terms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SGA RISK AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

Without limiting the foregoing, SGA RISK is not liable for losses arising from software defects, errors, or unexpected behavior of the risk engine; server downtime or degraded performance; broker or third-party API outages, latency, throttling, or rejected/delayed/partial orders; or any interruption in connectivity. You are responsible for monitoring your own accounts.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration on an individual basis; you and SGA Risk waive any right to a jury trial or to participate in a class action, except where prohibited by law.

We may update these Terms from time to time. Continued use after changes become effective constitutes acceptance of the revised Terms.
